Terms of Service
Last updated: October 27, 2026
Plain-English terms for using our website and services. Please read them carefully.
1.Acceptance of these Terms
These Terms of Service ("Terms") govern your use of this website and any services provided by Vendatrix, LLC ("Vendatrix," "we," "us"), a Wyoming limited liability company authorized to do business in New York. By using the website, signing an order or agreement with us, or using a client portal account, you agree to these Terms. If you are agreeing on behalf of a firm or other organization, you confirm you have authority to bind it.
2.Services and scope
We provide fixed-scope, fixed-price AI consulting and training services, which may include workshops, AI use policies, pilot projects, multi-week sprints, and an optional monthly care plan limited to monitoring, updates, and fixes.
The specific scope, deliverables, schedule, and price of each engagement are set out in a written order, proposal, or statement of work ("Order") agreed by both parties. If an Order conflicts with these Terms, the Order controls for that engagement. Work outside the agreed scope requires a written change agreed by both parties and may carry additional fees.
Descriptions and prices on this website are a general summary and are not an offer that binds us until an Order is agreed.
3.Fees and payment
Fees, payment timing, and any deposits are stated in the applicable Order. Unless the Order says otherwise, invoices are due on receipt, fees are stated in US dollars, and fees do not include applicable taxes, which you are responsible for.
Monthly care plans are billed in advance each month and continue until cancelled as described in Section 10. We may pause work if an invoice is past due.
Scope-delivery guarantee. For Pilot and Sprint engagements, if we do not deliver the scope agreed in the written Order, we will refund the fees you paid for that engagement, provided you notify us in writing within 30 days of delivery. Starter engagements and Care plans are not covered. Any other remedy is only as set out in the applicable Order.
4.No legal or professional advice; no guarantee of results
We help firms adopt and use AI tools. We do not provide legal, medical, accounting, tax, insurance, or other regulated professional advice, and nothing we deliver should be treated as such advice. AI use policies and similar materials we provide are templates and recommendations that you should review with your own qualified advisers.
AI tools can produce inaccurate, incomplete, or biased output. All AI output must be reviewed by a qualified person before it is relied on or shared. You remain solely responsible for your work product, your decisions, and compliance with the laws, regulations, and professional or ethical obligations that apply to you and your firm, including client confidentiality and supervision duties.
Apart from the scope-delivery guarantee in Section 3, we do not guarantee any particular outcome, time savings, cost savings, or business result.
5.Client data and confidentiality
Each party will keep the other party's non-public business information confidential and use it only to perform or receive the services, except where disclosure is required by law. You should share only the information we need to do the work, and you are responsible for having the right to share any data you provide to us, including data about your own clients or patients.
If an engagement involves sensitive or regulated data, the parties will agree any additional terms in writing (for example, a confidentiality or data processing agreement) before that data is shared. Our handling of personal information is also described in our Privacy Policy.
6.Intellectual property
You keep all rights to the materials and data you provide to us. Once you have paid in full for an engagement, you own the deliverables created specifically for you under the Order, except as described below.
We keep ownership of our pre-existing materials, templates, methods, know-how, and general tools, including anything we develop that is not specific to you. To the extent these are included in your deliverables, we grant you a non-exclusive, non-transferable license to use them for your internal business purposes.
Third-party AI tools and software remain subject to their own providers' terms, which you are responsible for accepting and following.
7.Client portal accounts
We may offer a client portal in the future. If you receive a portal account:
- Keep your login credentials secure and confidential, and do not share accounts.
- Tell us promptly at hello@vendatrix.com if you suspect unauthorized access.
- You are responsible for activity under your account.
- Do not misuse the portal, including by attempting to access data that is not yours, interfering with its operation or security, uploading malicious code, or using it for any unlawful purpose.
We may suspend or close portal access to protect the security of the portal or other users, or if these Terms are breached.
8.Website use
You may use this website for lawful purposes only. Website content is provided for general information and may change without notice.
9.Disclaimers
Except as expressly stated in an Order, the website and services are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We are not responsible for third-party AI tools, software, or services, including their availability, accuracy, or changes.
10.Term and termination
Either party may terminate an Order as provided in that Order. Unless the Order says otherwise, either party may terminate for material breach that is not cured within 15 days after written notice, and you may cancel a monthly care plan with written notice effective at the end of the current billing month.
On termination, you will pay for services performed and fees incurred up to the termination date. Sections that by their nature should survive (including payment, confidentiality, intellectual property, disclaimers, and limitation of liability) will survive.
11.Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the services or these Terms will not exceed the fees you paid us for the engagement giving rise to the claim in the 12 months before the claim arose.
12.Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. The parties agree that the state and federal courts located in New York will have jurisdiction over any dispute arising out of these Terms or the services.
13.Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Changes do not alter an Order already agreed unless both parties agree in writing.
